NO PURCHASE NECESSARY. VOID WHERE PROHIBITED BY LAW. PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. Honeysuckle White® Brand/Shady Brook Farms® Brand Turkey BBQ Contest begins on 06/25/10 and all video recipe entries must be submitted by 7/09/10. Public voting ends on 7/23/10.

1. Contest Description
The Honeysuckle White® Brand/Shady Brook Farms® Brand Turkey BBQ Contest (the "Contest") gives Contestants the opportunity to create a short video of themselves preparing an original grill recipe using Honeysuckle White® brand or Shady Brook Farms® brand turkey products (jointly and severally, the "Sponsor Brand") (each, a "Submission").

BY PARTICIPATING IN THE CONTEST, CONTESTANTS EXPRESSLY CONSENT TO THESE OFFICIAL RULES, THE TERMS AND CONDITIONS OF THE CARGILL AND THE CONTEST WEBSITES, AND THE CARGILL PRIVACY POLICY, ALL OF WHICH ARE HEREBY INCORPORATED BY REFERENCE (collectively, the "Official Rules). If you do not agree to any of these terms, please do not participate in the Contest.

3. Eligibility
To participate in the Contest, Contestants must be: 1) a legal U.S. resident of any of the 50 United States or the District of Columbia; and 2) at least 18 years of age (19 years in AL or NE; 21 in MS ) ("Contestant") and be one of seventeen (17) invited grilling-topic bloggers. Employees of Cargill Meat Solutions Corporation, and its parent companies, subsidiaries, divisions, affiliates, distributors, suppliers and advertising, promotional or judging partners or agencies ("Contest Entities"), as well as immediate family members (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) and persons living in the same household of any such employee are not eligible to participate or win in either the Sweepstakes or Contest. All entries submitted in accordance with these Official Rules shall be hereinafter referred to as "Eligible Entries."

To participate as a Voter, Voters must be 1) a legal U.S. resident of any of the 50 United States or the District of Columbia; and 2) at least 18 years of age (19 years in AL or NE; 21 in MS).

4. Timing
The Contest shall begin on June 25, 2010 and the submission period shall conclude at 11:59:59 pm CST] on July 9, 2010 ("Contest Period"). Voting shall begin on or about July 16, 2010 and shall conclude at 11:59:59 pm CST on July 23, 2010 ("Voting Period").

5. Contest
(a) How to Enter the Contest
To participate in the Contest, Contestants should go to www.yousendit.com ("Web Site") during the Contest Period. Once on the Web Site, if a Contestant has a subscription, he can send the video by entering Contestant's email address in the "From" section and christine.dooley@ketchum.com in the "To" section and upload the video and the Microsoft Word document written recipe by hitting the "Select File" button. If a Contestant does not have a subscription, he may sign up for a free trial by selecting the "Free Trial" button at the top of the yousendit.com home page and registering for a 14-day free trial. Submissions must include both a flipcam video and a Microsoft Word document with the Contestant's written original recipe utilizing a Sponsor Brand product. Once a Contestant has uploaded a Submission, the Submission may not be modified, edited or retracted. Each Contestant may enter only one (1) original Submission. All video and recipe entries must be submitted by 7/9/10.

(b) Creating Submissions for the Contest
Each Contestant will be provided with a Honeysuckle White® brand or Shady Brook Farms® brand Turkey BBQ Contest Package ("Contest Package") comprising Honeysuckle White® brand and/or Shady Brook Farms® brand turkey products (selected by the Contestant) and an HD flipcam video camera. Each Submission must be an original, previously unpublished video (using the Contest Package turkey and flipcam) between four (4) and six (6) minutes in length that shows how the Contestant grills with Sponsor Brand turkey products. The recipe demonstrated must be original to the contestant and must not have been previously published in any other media. Each Contestant must also submit (upload) the recipe (that is part of the video submission) in a Word document at the time of the video submission.

Submission Requirements: All submissions must conform to the following requirements.

(a) Technical Requirements
Video Requirements: Video file(s) of any Submission must be between four (4) and six (6) minutes in length and must use the flipcam provided in the Contest Package. Recipe Requirement: Recipe must contain a list of all ingredients as well as the steps for preparation. The recipe must be in a Microsoft Word document.

(b) Content Restrictions
Each Submission cannot:
Contain material that is violent, pornographic or otherwise obscene, illegal, or racially or morally offensive, as determined by Sponsor;
Contain defamatory statements (including but not limited to words or symbols that may be considered offensive to individuals of a particular race, ethnicity, religion, sexual orientation or socioeconomic group);

  1. Include threats to any person, place, business, group or world peace;
  2. Invade the privacy or other rights of any person, firm or entity;
  3. Contain or refer to any food or beverage product by brand name other than Sponsor Brand;

Contain or refer to any third party copyrights, trademarks, logos, or trade dress (with the exclusion of Sponsor Brand or any other asset provided by the Sponsor for use by in connection with the Contest); or
Violate any law, rule, or regulation that may apply to the Contest, including but not limited to those concerning copyright, plagiarism, trademark, defamation and invasion of privacy.

General Conditions on Submissions: All Submissions will be reviewed before being published on the Web Site dedicated to voting. However, such review does not relieve Contestant from responsibility for compliance with the Official Rules. Submissions that do not comply with the Official Rules, or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor in its sole discretion, may be deleted, and/or disqualified, and will not be published or considered for a prize. Sponsor makes the final determination as to which Submissions are eligible to take part in this Contest and be considered for a prize.

No Submission may feature any person other than the Contestant and, if a location other than Contestant's home or residence is filmed, Contestant must provide a location release for any such location. All Video Contest Submissions must be uploaded during the Contest Period. No Submissions will be accepted after the Contest Period has ended, nor will any Submissions be returned to the Contestants.

6. Winner Selection
Regardless of what communication may take place between Sponsor and Contestant, no Contestant is a winner unless and until the verification procedure is completed in full.

(a) Contest: There will be two (2) stages in selecting the Contest winner: Finalist selection and Grand Prize Winner selection.

Ten (10) Finalists will be selected by a panel of qualified judges composed of representatives from the Sponsor and a chef from Ketchum Public Relations ("Judges"). The judges will base their decisions on the following judging criteria:

  • Originality & Creativity of Recipe and Video– 50%
  • Appropriate use of Sponsor Brand Turkey Products– 20%
  • General Availability of the Recipe's Ingredients– 15%
  • Ease of Preparation for the General Grilling Public – 15%

The ten (10) Submissions receiving the highest total rating by the Judges will be deemed Finalists, and will proceed to the second stage of selection. In the event that there is a tie in the highest rating for the 10th Finalist spot, Sponsor reserves the right, in its sole discretion, to add additional Finalist spots, or select the 10th Finalist from amongst those Submissions tied for the 10th Finalist spot based on the highest score received by a Contestant using the Originality & Creativity judging criteria category. The Judges reserve the right to select fewer than ten Finalists if, in their sole discretion, they believe that there are insufficient entries that meet the judging criteria. For purposes of determining the Grand Prize winner, the Judges will rank the Finalists' submission in order of preference (one through 10 - ten being the highest, most favorable ranking). This ranking will not be disclosed to the general public.

Once the Finalists have been identified, their Submissions will be judged based upon rankings by members of the general public ("Voters"). Voters may access the Web Site by registering as a voter, and may view all of the Finalist Submissions Upon viewing a Submission, Voters will be given the option to rate Submissions on a scale of 1 to 10 (ten being the highest, most favorable rating). Voters may rate as many Submissions as they like, but may rate any individual Submission only one (1) time. Voting for the Finalist Submissions begin on or about 07/16/10. No rating for any Submission will be accepted after 11:59:59 pm CST on 07/23/10.

The Potential Grand Prize Winner will be determined by combining the overall average ranking given to the Submission by the Voters (50%), and the ranking given to the Submission by the Judges (50%). In the event of a tie, the Grand Prize Winner will be the Submission that received the highest ranking score from among all tied Submissions based upon rankings by members of the general public Voters.

7. Prize
One Grand Prize ("Contest Prize") will be awarded from amongst the top ten Finalists. Contest Prize is a trip for winner to attend a class at the BBQ Institute led by Konrad Haskin in Dallas, Texas. Trip includes round trip air transportation for one from a major airport nearest winner's home to Dallas, Texas, one night hotel accommodations (single standard room), transportation to and from the hotel and the location of the grilling school and a $200 travel stipend. Estimated retail value up to $2000, depending on winner's point of departure. Sponsor reserves the right to select air carrier and hotel. Winner must travel on the dates specified by Sponsor. No alternate dates are available. Winner must possess all necessary documentation required for air travel (e.g., valid photo identification). Meals, gratuities, transportation to and from winner's home and airport and other expenses not specifically mentioned herein are the winner's responsibility. No responsibility is assumed by Sponsors for canceled, delayed, suspended or rescheduled event.

Odds of winning a Finalist spot are 10:17. Odds of winning the Grand Prize are 1:10 from amongst all Finalists.

General Condition: No cash or other substitution, assignment or transfer of any prize is permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with cash or another prize of comparable or greater value. Winner is responsible for all federal, state and local taxes and fees associated with prize receipt and/or use. Winner will receive an IRS Form 1099 for the retail value of the prize. Prize will be awarded "as is" with no warranty or guarantee, either express or implied offered by Sponsor.

8. Publicity/Copyright License
Except where prohibited, participation in the Contest constitutes Contestant's consent to Sponsor's use of Contestant's name, likeness, photograph, voice, opinions, biographical information, hometown and state for promotional purposes in any media without further payment, consideration, notification, or right of approval. Other than the materials provided by Sponsor and the intellectual properties owned or controlled by Sponsor, Contestant retains all ownership rights in their Submission. However, by making a Submission, Contestant grants Sponsor and their agencies a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Submissions in connection with the Contest, including without limitation for promoting the Contest and Sponsor's products and services in any media formats and through any media channels in perpetuity. Contestants shall not be entitled to notification, right of approval, or additional compensation of any kind for use of either Submission pursuant to this license.

9. Representations and Warranties
By participating in the Contest, each Contestant affirms, represents, and/or warrants that: (i) Contestant owns or has the necessary licenses, rights, consents, and written permissions to use and authorize Sponsor to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Submissions to enable inclusion and use of the Submissions in the manner contemplated by the Sponsor and these Official Rules; (ii) Contestant's submitted recipe is original to Contestant; (iii) Contestant has not previously published either the recipe or the video and (iv) Contestant's Submission is not copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless Contestant is the owner of such rights or otherwise has permission from the rightful owner(s) to participate in the Contest and to make such Submission for the purposes intended by Sponsor. Contestant further agrees that he/she will not (i) publish falsehoods or misrepresentations that could damage Sponsor or any third party; (ii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iii) post advertisements or solicitations of business: (iv) impersonate another person.

10. General Conditions
Sponsor reserves the right to cancel or modify all or part of the Contest if fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Contest, as determined by Sponsor in its sole but reasonable discretion. In such an event, Sponsor may, at its sole discretion, award the Prize to the Finalist that received the Judges' highest ranking. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the submission or voting process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Contest is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. Release
By receipt of any Prize, winner agrees to release and hold harmless Contest Entities (also collectively, the "Released Parties") from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Contest or resulting directly or indirectly, from acceptance, possession, use, or misuse of any Prize awarded, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

12. Limitations of Liability
The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Contestants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process of the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) any bugs, viruses, trojan horses, or the like, which may be transmitted to or through the Web Site by any third party; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Contestant's participation in the Contest or receipt or use of any Prize. By participating in the Contest, Contestants agrees to indemnify and hold Released Parties from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) all matters related to Contestant's participation in the Contest; (ii) Contestant's use of and access to the Website; (iii) Contestant's violation of any provision of these Official Rules and/or the Cargill Brand Terms; (iii) Contestant's violation of any third party right, including without limitation any copyright, property, or privacy right; and (iv) any claim that Contestant's Submission caused damage to a third party.

13. DMCA Copyright Information
Sponsor expressly disclaims any and all liability in connection with Submissions. Sponsor does not permit copyright infringing activities and infringement of intellectual property rights on the Web Site, and Sponsor will remove all Submissions if properly notified that such Submission infringes on another's intellectual property rights. Sponsor reserves the right to remove Submissions without prior notice. Sponsor will also terminate a Contestant's access to the Web Site if Contestant is determined to be, in the sole discretion of Sponsor, a repeat infringer.

Infringement Notification Procedure. If you are a copyright owner or an agent thereof and believe that any Submission or other content infringes upon your copyright(s), you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing Sponsor's Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
  • Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

You acknowledge that if you fail to comply with all of the requirements of this Section 5(D), your DMCA notice may not be valid.

Counter-Notice. If a Contestant has his/her Submission removed under the above take-down procedure, and believes that the Submission is not infringing, the Contestant may send a counter-notice containing the following information to the Copyright Agent:

  • Your physical or electronic signature;
  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
  • A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and
  • Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Kansas, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by the Copyright Agent, Sponsor may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in five (5) business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in seven (7) to ten (10) business days or more after receipt of the counter-notice, at Sponsor's sole discretion.

14. Disputes
Contestant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest or any Prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for Kansas or the appropriate Kansas State Court located Sedgewick County, Kansas; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys' fees; and (iii) under no circumstances will Contestant be permitted to obtain awards for and Contestant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Contestant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Kansas, without giving effect to any choice of law or conflict of law rules (whether of the State of Kansas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Kansas.
